Direct Selling / Reselling Agreement

This Direct Seller Agreement (“Agreement”) is entered into by and, between Shreeniwas Innovations Pvt. Ltd. a company incorporated and having its registered office at Survey No: 143/4, Belgaon-Dhaga Road, Dange Mala, At-Post Vilholi, Tal, Dist- Nashik -422010. (hereinafter referred to as “the Company”),

And

A person who has finalized the registration procedure, provided valid Know Your Customer (KYC) documentation, and acquired products from the Company, thus obtaining a Direct Seller Registration ID (hereinafter referred to as the "Direct Seller"), a term that shall encompass their legal heirs, representatives, and authorized assigns.

Terms and Conditions

1. Appointment

1.1 The Company appoints the Direct Seller as a non-exclusive independent representative for marketing and selling the Company’s products/services.

1.2 This Agreement does not create an employer-employee, agency, or partnership relationship.

2. Eligibility

2.1 The Direct Seller must be 18 years or older and legally competent.

2.2 Accurate personal details and identification documents must be submitted at the time of registration.

2.3 The Direct Seller shall not have been convicted of fraud, financial misconduct, or any offense involving dishonesty.

3. Independent Contractor Status

3.1 The Direct Seller works at his/her own time, effort, and cost.

3.2 The Company is not liable for any tax, insurance, travel, or other expenses incurred by the Direct Seller.

3.3 The Direct Seller may not represent themselves as an employee or agent authorized to bind the Company.

4. Code of Conduct

4.1 The Direct Seller shall maintain ethical business practices and comply with all applicable laws.

4.2 Misrepresentation of products, income possibilities, or the Company’s policies is strictly prohibited.

4.3 No false claims, medical claims, misleading statements, or unapproved marketing materials may be used.

4.4 The Direct Seller must treat customers with honesty and fairness.

5. Selling and Marketing

5.1 The Direct Seller may promote products only through permitted channels as specified by the Company.

5.2 No mass spamming, unsolicited messaging, or deceptive advertising is allowed.

5.3 Pricing must follow the Company’s guidelines; unauthorized discounts are prohibited.

6. Purchase and Refund Policy

6.1 The Company shall supply products subject to availability and payment completion.

6.2 Refunds, cancellations, or returns must follow the Company’s official policy.

6.3 The Direct Seller may not compel customers to purchase excessive quantities.

7. Commissions and Compensation

7.1 The Direct Seller will earn commissions as per the Company’s compensation plan.

7.2 Commission is paid only after successful product sale and clearance of payment.

7.3 Income is not guaranteed and depends solely on the Direct Seller’s performance.

7.4 Bonuses or incentives may be introduced, changed, or withdrawn by the Company.

8. Downline / Team Building

8.1 Recruitment must be voluntary without coercion or misleading promises.

8.2 The Direct Seller cannot charge any fee for recruitment.

8.3 Downline training must be ethical and compliant with Company policies.

8.4 Cross-line recruiting is prohibited.

9. Prohibition of Pyramid Selling

9.1 The Direct Seller shall not engage in pyramid, money-circulation, or illegal network schemes.

10. Confidentiality

10.1 The Direct Seller agrees to keep confidential all non-public information.

10.2 Confidential information must not be shared with competitors or third parties.

11. Intellectual Property

11.1 All trademarks, logos, marketing materials remain the exclusive property of the Company.

11.2 Use of Company IP is allowed only for approved business purposes.

12. Term and Termination

12.1 This Agreement becomes effective on the date of signing.

12.2 The Company may terminate the Agreement immediately for violations.

12.3 Upon termination, the Direct Seller must stop using Company resources.

13. Limitation of Liability

13.1 The Company is not responsible for the Direct Seller’s personal losses.

13.2 Liability shall not exceed commissions due.

14. Taxes

14.1 The Direct Seller is responsible for their own statutory dues.

15. Governing Law and Dispute Resolution

15.1 Governed by the laws of Govt of India.

15.2 Disputes resolved by negotiation or arbitration.

16. Acknowledgement

The Direct Seller confirms acceptance of all terms voluntarily.

IN WITNESS WHEREOF, this agreement is deemed executed electronically and binding upon both parties as per the Information Technology Act, 2000.
